About these terms
These terms are the agreement between OPALITH SAS, registered office 254 rue Vendôme, 69003 Lyon, France (RCS Lyon 991 600 156), and the business that uses rdv.dev, the scheduling service at app.rdv.dev and on the booking pages under rdv.dev. "We" and "us" mean OPALITH SAS; "you" means that business.
For businesses only. rdv.dev is sold to businesses, not to consumers. By creating an account, or by accepting these terms when a new version is published, you accept them on behalf of a business and declare that you act for the purposes of your trade, business or profession, and that you are authorised to bind that business. If you are a consumer, do not use rdv.dev.
What is part of the agreement. These terms, the data processing agreement and the refund policy form one agreement. If they disagree about personal data processed on your behalf, the data processing agreement prevails. The privacy policy explains how we handle personal data as a controller.
Words used here
- Service: the rdv.dev app, its public booking pages, and its public API, MCP server and webhooks.
- Workspace: the space a team shares in the Service, with its members, event types, bookings and brand.
- Owner: the member who holds the workspace and its subscription. There is exactly one.
- Host: a member who can be booked through at least one active event type.
- Guest: a person who books a meeting with a host.
- Agent: software, including AI assistants, that uses the Service through the API, the MCP server or webhooks on behalf of a workspace or one of its members.
- Your content: everything you or your members put into the Service: event types, descriptions, questions, brand, logos, and the data of your guests.
Accounts and workspaces
- Each person has their own account. Keep your sign-in details to yourself and tell us at hello@rdv.dev if you think someone else has used them.
- The information you give us must be accurate and kept up to date, in particular the business name, billing address and VAT number.
- The owner controls the workspace and its subscription and can give other members the roles the Service offers (admin, member, contributor). You are responsible for what your members and your agents do in your workspace.
- A workspace can let people with an email address at its company domains join automatically or on request. You decide whether to switch this on, and who it lets in.
Plans and hosts
The plans, what each includes and their prices are on the pricing page. In short:
- Free is for one host. Booking pages, emails and calendar invites on the Free plan show "Booked with rdv.dev", with a link to our website. The API, MCP server and webhooks are included under fair use.
- Solo Pro is for one host, without the badge, with custom branding and text reminders.
- Team is for two hosts or more and includes every feature. Its price depends on the band your host count falls in; every band has the same features.
Hosts and bands. Admins and members who only manage the workspace are not hosts and cost nothing. Your band follows your number of hosts:
- Moving up a band happens when a new host takes the workspace past the top of its band. The owner is asked to confirm first. Once confirmed, the difference is charged pro rata for the rest of the current monthly period.
- Moving down a band happens when the host count falls into a lower band. The difference for the rest of the period is credited against your future invoices. A credit is never paid out in money.
Text reminders. Paid plans include a monthly allowance of text messages, shown on the pricing page. When it is used up, texts stop until the next period, and the owner is told by email.
Prices and payment
- Every price is public, on the pricing page. There is no minimum term, no set-up fee and no "contact sales" price.
- Prices are monthly, in euros, VAT excluded. VAT is added where it applies. For a business in another EU country with a valid VAT number, the reverse charge applies.
- Subscriptions are paid monthly in advance, by card, through our payment provider Stripe. They renew automatically each month until you cancel.
- Invoices are issued in our name and sent to the owner by email. Billing details are managed in the app.
Late or failed payment
Late payment. Any amount not paid by its due date bears, from the following day and without a reminder being needed, late payment penalties at three times the French legal interest rate, and a fixed indemnity of €40 for recovery costs per unpaid invoice, as provided by article L441-10 of the French Commercial Code. If our recovery costs are higher, we may ask for the difference on proof.
Failed payment and grace period. If a card payment fails, Stripe tries again and we tell the owner by email. Your paid plan keeps working for a grace period of 14 days. If the invoice is still unpaid at the end of the grace period, the workspace returns to the Free plan:
- your booking links keep working, and nothing is deleted or deactivated;
- the "Booked with rdv.dev" badge returns;
- a round robin event type books only its first host;
- no new text reminders are scheduled, and no new hosts or Team features can be published.
Paying what is due, or subscribing again, restores the paid plan. Amounts already due remain payable.
Our written promises
These promises are part of the contract. We will not change them for a workspace that is subscribed.
- A feature in your plan stays in your plan. We do not move a feature you have to a more expensive plan.
- Your price never goes up while you stay subscribed. The price list in force when your workspace subscribes keeps applying to it for as long as the subscription continues without a break. New prices apply only to new subscriptions.
- Free export. You can export your data at any time, at no cost, whatever your plan.
- Your links keep working. When you leave a paid plan, your booking links keep working on the Free plan. If you delete the workspace, its links can redirect to an address you choose, and its addresses are never given to anyone else.
Acceptable use
You, your members and your agents must use the Service lawfully and fairly. In particular, you must not:
- send spam, or use booking pages, emails, invitations or text reminders to send messages people did not ask for;
- automate bookings unlawfully or abusively, for example to fill other people's calendars, to hold slots you do not intend to use, or to collect other people's availability at scale;
- publish misleading booking pages, such as pages that pretend to be another business or person, or that collect passwords, payment details or other information under false pretences;
- publish illegal content, or content that infringes someone else's rights;
- send text reminders to a person who did not consent to them;
- try to get around plan limits, rate limits or security measures, probe or overload the Service, or access data that is not yours;
- resell the Service, or make it available to people outside your business, without our written agreement.
API, MCP server, webhooks and agents. They are available on every plan. On the Free plan they are subject to fair use; every plan is subject to rate limits and abuse controls, which protect the Service for everyone and never take a feature away. Agents act in your name: you are responsible for the agents you connect, for the keys and authorisations you give them, and for what they book. Keep API keys secret, and revoke a key you think is exposed. Webhook endpoints you register must be yours, or authorised by you.
If use breaks these rules or puts the Service at risk, we may slow down or block the requests concerned, and the section on suspension and termination applies.
Your content and your booking pages
- You own your content. You give us the right to host, store, copy, display and process it only as needed to provide the Service to you, for as long as you use it, and as described in the data processing agreement.
- You are responsible for it. You publish your booking pages and decide what they say. You confirm you have the rights to the names, logos, texts and images you use, including those the Service suggests from your website after you review them.
- We host your pages. For booking pages published by your workspace, we act as a hosting provider. We do not check content before it is published, but we act on content reported to us as illegal (see Illegal content).
- Your guests. You tell your guests how you use their data, and you rely on a valid legal basis to do so. Text reminders are sent only when the guest ticks the box that asks for them.
Personal data
For the personal data we process on your behalf, mainly your guests' and your members' data in your workspace, you are the controller and we are your processor, under the data processing agreement, which is part of these terms. For the data we process for our own purposes, such as accounts, security and billing, we are the controller, as the privacy policy explains.
Cancelling, switching and exporting your data
These rules also give effect to your rights under the EU Data Act when you switch to another provider.
- Cancel at any time. The owner can cancel the paid plan in the app at any time. Cancellation takes effect at the end of the month already paid; the workspace then continues on the Free plan. There is no refund for the rest of that month, as the refund policy explains.
- Export at any time. You can export your workspace's data (event types, availability, bookings and guests' details, brand) in a structured, commonly used, machine-readable format, at no cost, whatever your plan. If you need help moving to another provider, write to hello@rdv.dev and we will help, within reason.
- No switching fee. We charge nothing to leave, to export or to switch.
- After the agreement ends. If the agreement ends for any reason other than you deleting your workspace or account yourself, you have 30 days to retrieve your data. We then delete it, except what the law requires us to keep, such as invoices.
- Deleting yourself. If you delete your workspace or your account in the app, deletion is immediate. Export first.
Illegal content and the Digital Services Act
Single point of contact. For authorities and for users, our single point of contact under the EU Digital Services Act is hello@rdv.dev. You can write to it in English or French.
Reporting illegal content. Anyone can report a booking page, or any other content we host, that they believe is illegal. Email hello@rdv.dev with:
- the exact address (URL) of the page;
- an explanation of why you believe it is illegal;
- your name and email address, unless the report concerns one of the offences for which the law lets you stay anonymous;
- a statement that you make the report in good faith and that it is accurate and complete, to the best of your knowledge.
We acknowledge the report, look at it promptly and without bias, and tell you what we decided.
Statement of reasons. If we remove or restrict content, suspend a page or an account, or limit the Service because of content we consider illegal or contrary to these terms, we tell the workspace concerned why, which facts and rules we relied on, and how to contest the decision. You can reply to that email to ask us to review it, and you keep your right to go to court.
Availability and support
- We work to keep the Service available at all times and to fix problems quickly, but we cannot promise it will never be interrupted. We announce planned maintenance in advance when we can.
- When a calendar cannot be read, the Service shows no slots rather than risk a double booking. This is how it is designed to work, not a fault.
- The Service relies on services we do not control, such as Google, Microsoft and the networks in between. We are not responsible for their failures.
- Support is by email, at hello@rdv.dev, in English or French, on French business days.
- We may change and improve the Service. A change will not remove a feature from your plan (see Our written promises).
Our software and your right to use it
The Service, its software, design, documentation and the rdv.dev name and logo belong to OPALITH SAS or its licensors. For as long as the agreement lasts, we give you and your members a non-exclusive, non-transferable right to use the Service for your business, under these terms. The SDK, agent specification and MCP server we publish as open source are covered by their own licences. If you send us suggestions, we may use them freely.
Liability
- Each of us is liable for the direct damage it causes by breaching this agreement.
- Neither of us is liable for indirect damage, such as lost profits, lost revenue, lost business or lost opportunities, including meetings that were not booked.
- Our total liability under this agreement, whatever the cause, is limited to the fees you paid us in the 12 months before the event that gives rise to the claim.
- These limits do not apply where the law does not allow them, in particular in case of gross negligence or wilful misconduct, or for death or personal injury.
- Neither of us is liable for a failure caused by force majeure, as defined by article 1218 of the French Civil Code.
Suspension and termination
- By you. You can cancel the paid plan at any time (see Cancelling, switching and exporting your data), and delete your workspace or account in the app.
- Suspension by us. We may suspend a booking page, an API key, a member's access or a workspace, without notice, when that is needed to stop illegal content, a security risk, abuse of the Service or a serious breach of these terms. We tell you why, and lift the suspension once the cause is gone.
- Termination by us for a breach. If you seriously breach these terms and do not put it right within 15 days of our email asking you to, we may end the agreement. We may end it at once for a breach that cannot be put right, or when the law requires us to.
- Termination by us for other reasons. We may also end the agreement, or stop the Service, with at least 3 months' notice by email. We then refund the fees paid for any period after the end date.
- In every case, the 30-day window to retrieve your data applies.
Changes to these terms
We may update these terms. We tell owners by email at least 30 days before a new version applies, except for changes required by law or by a security risk, which may apply sooner. If you do not accept the new version, you can cancel before it applies. A change never affects our written promises for a workspace that is subscribed. The date at the top of this page is the version in force.
General
- These terms, with the documents they refer to, are the whole agreement between us about the Service.
- If one clause is held invalid, the others remain in force.
- Not enforcing a right is not a waiver of it.
- We may transfer the agreement to a company that takes over the Service, and we will tell you. You may transfer it with our written agreement.
- We send notices by email to the owner's address; you send them to hello@rdv.dev.
Governing law and courts
These terms are governed by French law. Any dispute about them that cannot be settled amicably goes to the competent courts of Lyon, France, including in summary proceedings and when there are several defendants.
These terms may be offered in several languages. If the versions differ, the English version prevails.
